Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services of BarnX Technology Inc. ("BarnX," "we," "our," or "us"), including Qrown.app, Feed Cowdemy, and Hoof Cowdemy (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
Where you have entered into a separate written agreement with BarnX for the Services (a "Customer Agreement"), that agreement governs in the event of a conflict with these Terms.
1. The Services
BarnX provides operational software for feed and livestock operations, including ordering, inventory, scheduling, logistics, records, and related functionality. The scope, features, and availability of the Services may vary by product and customer environment and may change over time.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or suspected security incident.
The Services are intended for business use and are not directed to children.
3. Acceptable use
You agree not to:
- use the Services in violation of applicable laws or regulations;
- access, tamper with, or use non-public areas of the Services or our systems without authorization;
- interfere with or disrupt the integrity or performance of the Services;
- attempt to gain unauthorized access to any account, system, or data;
- reverse engineer, copy, or create derivative works of the Services except to the extent permitted by law;
- upload or transmit malicious code or content that is unlawful, infringing, or harmful; or
- use the Services to send unsolicited communications in violation of applicable law.
4. Customer data
As between you and BarnX, you retain all rights in the data you and your authorized users submit to the Services ("Customer Data"). You grant BarnX the rights necessary to host, process, and use Customer Data to provide, maintain, secure, support, and improve the Services, and as otherwise permitted under the applicable Customer Agreement.
You are responsible for the accuracy and legality of Customer Data and for ensuring you have the necessary rights and authority to provide it. Our handling of personal information is described in our Privacy Policy.
5. Intellectual property
BarnX and its licensors retain all rights, title, and interest in and to the Services, including all related software, branding, and content. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication or otherwise. Any feedback you provide may be used by BarnX without restriction or obligation to you.
6. Third-party services
The Services may interoperate with third-party products, services, or integrations that we do not control. Your use of third-party services is governed by their own terms, and BarnX is not responsible for them.
7. Fees
Where the Services are provided for a fee, applicable fees, billing terms, and payment terms are set out in the applicable Customer Agreement or ordering document. Except as required by law or expressly stated, fees are non-refundable.
8. Service availability and changes
We may modify, suspend, or discontinue all or part of the Services at any time. We may also establish limits on certain features or restrict access as reasonably necessary to protect the Services, our users, or to comply with law. Specific availability or service level commitments, if any, will be set out in the applicable Customer Agreement.
9. Disclaimers
Except as expressly stated in a Customer Agreement, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.
10. Limitation of liability
To the fullest extent permitted by applicable law, BarnX will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services.
Where liability cannot be excluded but may be limited, our total aggregate liability arising out of or relating to the Services will be limited to the maximum extent permitted by applicable law and, where a Customer Agreement applies, to the limits set out in that agreement.
11. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless BarnX from claims, damages, and expenses arising from your misuse of the Services, your violation of these Terms, or your violation of applicable law or the rights of a third party.
12. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access to the Services if you breach these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability. Data export and deletion following termination are handled as described in the applicable Customer Agreement.
13. Governing law
These Terms are governed by the laws of Canada and the province in which BarnX is established, without regard to conflict-of-laws rules, except where a Customer Agreement specifies otherwise or where mandatory local law applies.
14. Changes to these Terms
We may update these Terms from time to time. The revised Terms will be posted on this page, and your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
